1. Acceptance of Terms

By accessing or using VektorIndex ("the Site"), located at vektorindex.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Site. VektorIndex reserves the right to modify these terms at any time. Your continued use of the Site after any modification constitutes acceptance of the updated terms.

2. Nature of the Service

VektorIndex operates as: (a) an independent B2B software specification directory; (b) a digital products store selling downloadable tools, templates, and code; and (c) a future marketplace platform enabling third-party creators and vendors to sell digital products and services to buyers on the platform.

VektorIndex is not a software vendor, reseller, or authorised representative of any listed third-party product. Directory listings represent our independent editorial analysis sourced from publicly available vendor documentation.

3. Accuracy of Information

Specifications, pricing, and compliance data published on this Site are sourced from official vendor documentation and are updated periodically. VektorIndex makes reasonable efforts to maintain accuracy but does not warrant that any information is current, complete, or error-free. Software pricing and features change frequently. You should independently verify all specifications with the relevant vendor before making any purchasing decision. VektorIndex accepts no liability for decisions made in reliance on information published on this Site.

4. Vendor Listings & Paid Features

Software vendors may submit their product for inclusion in the VektorIndex directory via the /submit page. Basic listings are reviewed and published at no cost. The following paid options are available:

• Starter — $9/month: basic verified badge and listing inclusion.
• Featured — $49/month: featured badge and enhanced placement in search results.
• Verified — $99/month: highest tier, verified badge, and priority placement.
• 30-Day Boost — $29 one-time: listing promoted to the top of its category for 30 days.
• Category Sponsor — $99 one-time: sponsor banner displayed on a category page for 30 days.

Payments are processed through Lemon Squeezy. Monthly subscriptions may be cancelled at any time via your Lemon Squeezy customer portal. No refunds are issued for partial billing periods or unused one-time boosts.

By submitting a listing, the vendor confirms they are authorised to represent the product and that the information provided is accurate. VektorIndex reserves the right to reject, edit, or remove any listing that violates these Terms or contains misleading information.

5. Digital Products — Buyer Terms

VektorIndex sells downloadable digital products (templates, checklists, code boilerplates, and guides) through Lemon Squeezy, our Merchant of Record. All sales are final. Because digital products are delivered instantly upon purchase, no refunds are issued except where required by applicable consumer protection law (including the South African Consumer Protection Act No. 68 of 2008 and EU Directive 2019/770).

Upon purchase you receive a non-exclusive, non-transferable, perpetual licence to use the product for your personal or business purposes. You may not resell, redistribute, sublicence, or publicly share the product files. You may use code products in unlimited client projects but may not sell or distribute the source files as a standalone product.

Product access is delivered via email within 5 minutes of payment confirmation. If you do not receive your download link, contact us at support@vektorindex.com within 48 hours.

6. Marketplace — Seller Terms (Current & Future)

VektorIndex intends to open a marketplace feature allowing approved third-party creators ("Sellers") to list and sell digital products (templates, guides, code, tools, and courses) directly to buyers through the platform. The following terms apply now to VektorIndex's own products and will govern third-party sellers upon marketplace launch:

• Commission: VektorIndex charges a platform commission of up to 20% on each sale processed through the marketplace. The exact rate will be confirmed in the Seller onboarding agreement.
• Prohibited products: Sellers may not list illegal content, adult content, malware, cracked software, plagiarised work, financial instruments, or any product that violates applicable law.
• Seller compliance: Sellers are solely responsible for ensuring their products comply with applicable law in every jurisdiction they choose to sell in, including but not limited to POPIA (South Africa), GDPR (EU), CCPA (California), and VAT/GST obligations. VektorIndex does not provide tax, legal, or accounting advice.
• Intellectual property: Sellers warrant that they own or hold sufficient rights to all content they list. Sellers indemnify VektorIndex against any third-party IP claim arising from their listings.
• Removal: VektorIndex reserves the right to remove any listing, suspend any Seller account, and withhold pending payouts pending investigation of a policy violation or fraud claim.

Marketplace Seller accounts are not yet available. Register your interest at sellers@vektorindex.com. We will notify registered interest parties when Seller onboarding opens.

7. Affiliate Links & Advertising Disclosure

In compliance with the FTC Endorsement Guides (16 CFR Part 255), the ASA (UK) CAP Code, and South African Advertising Regulatory Board (ARB) standards, VektorIndex discloses that:

• Some outbound links to third-party software vendors on this site are affiliate links. If you click one of these links and make a purchase, VektorIndex may receive a commission from the vendor at no additional cost to you.
• Affiliate relationships do not influence the specification data, compliance analysis, or editorial content published in directory listings. All data is sourced independently from official vendor documentation.
• This site may display advertising via Google AdSense. Ad placement does not constitute endorsement of the advertised product.
• Vendors who purchase a Featured or Verified listing (§4 above) receive enhanced placement. This is clearly marked with a badge on the listing. Paid placement does not affect the accuracy of the specification data.

8. Intellectual Property

All original content on this Site, including page layouts, copy, and data structures, is the property of VektorIndex. Software product names and trademarks referenced on this Site belong to their respective owners. VektorIndex uses these names solely for the purpose of factual comparison and review under the doctrine of nominative fair use. VektorIndex is not affiliated with, endorsed by, or sponsored by any listed software vendor.

6. Limitation of Liability

To the maximum extent permitted by applicable law, VektorIndex shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of the Site or reliance on its content. The Site is provided "as is" without warranties of any kind, express or implied.

9. Third-Party Websites

This Site contains links to third-party vendor websites. VektorIndex has no control over, and accepts no responsibility for, the content, privacy practices, or terms of those websites. Linking to a third-party site does not constitute endorsement of that site or its products.

10. Prohibited Use

You may not use this Site to scrape, copy, or redistribute its content commercially without prior written consent. You may not use automated tools to systematically download or index the Site's content beyond normal search engine crawling. You may not attempt to interfere with the Site's infrastructure, security, or payment systems.

You may not use VektorIndex to conduct fraudulent transactions, impersonate another user or vendor, submit false reviews, or engage in any activity that harms other users, Sellers, or vendors on the platform.

11. Consumer Protection Act (South Africa)

South African consumers purchasing digital products from VektorIndex are protected under the Consumer Protection Act No. 68 of 2008 ("CPA"). Where the CPA affords rights that cannot be waived by contract, those rights are not affected by these Terms.

In particular, Section 44 of the CPA grants consumers a 5-business-day cooling-off right for certain direct marketing transactions. Digital downloads that have been accessed or opened are exempt from the cooling-off right unless the product is materially defective. If you believe a VektorIndex digital product is materially defective, contact support@vektorindex.com within 5 business days of purchase.

12. Dispute Resolution

Buyer–Seller disputes on the marketplace (once live) must first be submitted to VektorIndex's internal dispute resolution process via disputes@vektorindex.com. We will respond within 5 business days. If unresolved, disputes may be referred to the South African National Consumer Commission or, for EU residents, the applicable EU Online Dispute Resolution platform.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa. For EU residents, mandatory local consumer protection laws apply in addition to these Terms and are not excluded by this clause.
